1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of BizHero.ai (the "Site") operated by Biz Hero Holdings, LLC ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you may not access or use the Site.

You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

BizHero.ai, our logos, and any related names are trademarks of Biz Hero Holdings, LLC. You may not use these marks without our prior written permission.

6. User-Generated Content

If the Site allows you to submit, post, or share content ("User Content"), you retain ownership of your User Content. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and promoting the Site.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate these Terms or any applicable law
  • Your User Content does not infringe the rights of any third party

We reserve the right (but have no obligation) to monitor, edit, or remove any User Content at our sole discretion.

7. Third-Party Links and Services

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, RELIABLE, OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Biz Hero Holdings, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your access to or use of the Site
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any User Content you submit

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Site will immediately cease.

Provisions that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the courts located in Panama City, Panama, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will revise the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Site.

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Site.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
  • Headings: Section headings are for convenience only and have no legal effect.
